RHYME ROYAL — Producer Beat License Agreement

Version 1.1

This Producer Beat License Agreement (“Agreement”) is between Giuseppe Di Salvatore, carrying on business as Lone Ones Music Group, operator of Rhyme Royal (“Rhyme Royal”), and the accepting producer (“Producer”).

The purpose of this Agreement is to allow selected Producer beats to be used on the Rhyme Royal platform while the Producer retains ownership and control of their music.

1. Submitted Beats

“Submitted Beats” means any beat provided, uploaded, or otherwise made available by the Producer to Rhyme Royal during the term of this Agreement, whether at the time of acceptance or at any time afterward, unless the parties expressly agree in writing that a particular beat is excluded.

This Agreement is a master agreement. The Producer does not need to sign a new agreement for each beat submitted.

2. Ownership

The Producer retains 100% ownership of all Submitted Beats.

Nothing in this Agreement transfers ownership, copyright, publishing rights, master rights, or any other ownership interest to Rhyme Royal.

The Producer remains free to sell, lease, license, distribute, remove from sale, or otherwise use the Submitted Beats anywhere else.

3. License to Rhyme Royal

The Producer grants Rhyme Royal a non-exclusive, worldwide, royalty-free license to host, reproduce, stream, display, and use the Submitted Beats as part of the Rhyme Royal platform and its related features.

This includes allowing Rhyme Royal members to download or access Submitted Beats as necessary to create submissions for use on Rhyme Royal.

This license does not transfer ownership of the Submitted Beats to Rhyme Royal or its members.

4. Artist Use

Rhyme Royal may permit artists to use the Submitted Beats to create content specifically for Rhyme Royal.

Artists do not receive a commercial release license to the underlying beat through Rhyme Royal.

If an artist wishes to commercially release, distribute, sell, or otherwise commercially exploit music using a Submitted Beat outside of the uses permitted by Rhyme Royal, the artist must obtain the appropriate license directly from the Producer.

Rhyme Royal will require artists, before being permitted to use or download Submitted Beats, to agree to terms that restrict use of those beats consistently with this Agreement.

5. Social & Promotional Clips

Rhyme Royal may allow artists to create or generate promotional clips containing portions of their Rhyme Royal submissions together with portions of a Submitted Beat.

These clips may be downloaded and shared on platforms such as Instagram, TikTok, YouTube, Facebook, and other social or promotional channels.

Rhyme Royal-generated clips containing a Submitted Beat will include Producer attribution.

Third-party platforms may apply their own terms, policies, automated rights-management systems, or content-identification systems to content uploaded to those services.

The right to share these promotional clips does not give an artist a general commercial license to the underlying beat.

Where the Producer indicates that a particular Submitted Beat should not be included in shareable promotional clips, Rhyme Royal will honour that setting for clips generated after the setting is applied.

6. Producer Credit

Rhyme Royal will credit the Producer when a Submitted Beat is made available for selection and when it is used in content on the platform.

Rhyme Royal may link to the Producer’s BeatStars store, website, social accounts, catalogue, or other destinations supplied by the Producer.

The goal is for listeners and artists who discover a Producer through Rhyme Royal to be able to find the Producer and their full catalogue easily.

7. Promotion & Marketing

Rhyme Royal may feature Submitted Beats, and content created with them, in material promoting the Rhyme Royal platform — including social media posts, paid advertising, the Rhyme Royal website, app store listings, press coverage, and showreels.

Producer attribution is included wherever it is practical to do so, and the Producer's beat store or supplied links may be shown alongside it.

This permission is non-exclusive, worldwide and royalty-free, and is limited to promoting Rhyme Royal itself. It does not permit Rhyme Royal to advertise a third party's product using a Submitted Beat, or to imply the Producer endorses a third party.

This is not a commercial release licence. Rhyme Royal will not distribute Submitted Beats, or recordings containing them, to Spotify, Apple Music, or any other streaming, download or distribution service under this Agreement. Any commercial release involving a Submitted Beat requires a separate written agreement with the Producer, including agreed compensation.

Where the Producer has turned off social clips for a particular beat, Rhyme Royal will not use that beat in clip-based promotion.

If the Producer asks Rhyme Royal to stop using a particular beat in promotional material, Rhyme Royal will do so for new campaigns within a reasonable period. Advertising already placed with third-party platforms may take a reasonable time to cycle out.

8. Producer Discounts

The Producer may optionally offer Rhyme Royal members or paid members a discount on products or licenses available through the Producer’s own store.

Participation in any discount program is voluntary, and the Producer controls the discount offered.

Purchases made through a Producer’s store remain transactions directly between the Producer and purchaser.

Unless separately agreed in writing, Rhyme Royal receives no commission or ownership interest from those sales.

9. Compensation & Paid Platform Features

Unless otherwise agreed in writing, no payment or royalty is owed by either party for use of the Submitted Beats under this Agreement.

Rhyme Royal may charge users for optional memberships, subscriptions, promotional tools, content-creation tools, or other platform features.

These may include features that create promotional content or clips incorporating portions of an artist’s submission and a Submitted Beat.

Any such charge is for access to Rhyme Royal’s platform, software, or features and does not constitute the sale or commercial licensing of the Producer’s underlying beat.

Rhyme Royal does not guarantee any minimum number of users, plays, impressions, sales, licensing opportunities, or other results to the Producer.

10. Producer Rights & Representations

The Producer confirms that they own or otherwise control all rights necessary to provide the Submitted Beats and grant the permissions described in this Agreement.

The Producer agrees to disclose any samples, collaborators, co-producers, publishers, labels, rights-management arrangements, or other third-party interests that could restrict the uses permitted under this Agreement.

The Producer will not knowingly provide a beat that infringes another party’s copyright or other rights.

If a Submitted Beat is enrolled in Content ID or another automated copyright or rights-management system that could affect Rhyme Royal content or social-media clips, the Producer will let Rhyme Royal know — either by turning off social clips for that beat in the Studio, or by contacting support@rhymeroyal.com.

11. Indemnification

The Producer is responsible for ensuring they have the rights necessary to enter into this Agreement.

If a third-party claim against Rhyme Royal results directly from the Producer breaching the ownership or rights representations made in Section 10, the Producer agrees to indemnify and hold Rhyme Royal harmless from reasonable losses, liabilities, damages, and costs resulting from that breach.

Rhyme Royal will promptly notify the Producer of any such claim and reasonably cooperate in addressing it.

12. Limitation of Liability

Except as described below, neither party will be liable to the other for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, or loss of goodwill, arising out of or relating to this Agreement, even if advised of the possibility of such damages.

Except as described below, each party’s total aggregate liability arising out of or relating to this Agreement is limited to five hundred Canadian dollars (CAD $500).

The exclusions and limitations in this Section do not apply to:

  • a party’s fraud, gross negligence, or wilful misconduct;
  • the Producer’s indemnification obligations under Section 11;
  • the Producer’s breach of the ownership or rights representations in Section 10; or
  • any liability that cannot be limited or excluded under applicable law.

13. Beat Removal

The Producer may request that one or more Submitted Beats no longer be available for new uses on Rhyme Royal by providing written notice.

Rhyme Royal will remove those beats from the available catalogue within a reasonable period.

Content legitimately created while the beat was available — including existing battles, artist submissions, generated promotional clips, archives, and related platform content — may remain available after removal.

This prevents removal of a beat from breaking or deleting existing Rhyme Royal content.

14. Term & Termination

This Agreement begins when accepted by the Producer and continues until terminated.

Either party may terminate the Agreement by providing written notice.

Termination ends permission for new uses of the Submitted Beats after they have been removed from the platform but does not automatically require deletion of content legitimately created while this Agreement was active.

Rights reasonably necessary to host, display, share, or maintain previously created content survive termination.

15. AI & Machine Learning

Rhyme Royal will not use the Submitted Beats to train generative artificial intelligence or machine-learning models without the Producer’s separate written permission.

Nothing in this Agreement grants Rhyme Royal rights to sell or license Submitted Beats as AI training data.

16. Non-Exclusivity

This Agreement is completely non-exclusive.

The Producer remains free to work with any artist, company, platform, label, marketplace, or other party and may continue selling and licensing the Submitted Beats normally.

17. Independent Relationship

This Agreement does not create an employment relationship, partnership, joint venture, agency relationship, record deal, or other business partnership between Rhyme Royal and the Producer.

Neither party has authority to make commitments on behalf of the other.

18. Assignment & Successors

Rhyme Royal may assign this Agreement to a corporation or other legal entity that acquires, operates, or succeeds to the Rhyme Royal or Lone Ones Music Group business, provided that the successor assumes Rhyme Royal’s obligations under this Agreement.

This provision is intended to allow the business to change its legal structure, including future incorporation, without requiring existing Producer agreements to be replaced solely because of that change.

The Producer may not transfer this Agreement to another party unless the rights to the applicable beats are also lawfully transferred and Rhyme Royal is notified.

19. Notices

Notices relating to this Agreement may be provided electronically.

Notices to Rhyme Royal may be sent to: support@rhymeroyal.com

The Producer’s notice email will be the email associated with the Producer’s Rhyme Royal account unless the Producer provides an updated address.

20. Governing Law

This Agreement is governed by the laws of the Province of British Columbia and the applicable federal laws of Canada.

The parties agree that disputes relating to this Agreement will be subject to the courts of British Columbia, Canada, unless otherwise required by applicable law.

21. Entire Agreement

This Agreement represents the complete understanding between Rhyme Royal and the Producer concerning the Submitted Beats and replaces prior discussions or communications regarding their use.

Any material amendment must be agreed to in writing by both parties, or by the Producer accepting an updated version of this Agreement through the Rhyme Royal platform.

Electronic acceptance of this Agreement has the same effect as a signed copy.


Producer Information

Collected and stored with the Producer’s Rhyme Royal account at the time of acceptance:

  • Legal name
  • Producer / stage name
  • Email
  • Country
  • BeatStars / store URL

Producers control, per beat, whether it may appear in shareable social clips — a catalogue is often mixed.

Acceptance Record

When a Producer accepts this Agreement, Rhyme Royal records the accepting account, the exact version accepted, the timestamp, and the originating IP address and browser user agent.
